act BSWW consults on bond-financed acquisition of real property in Tallinn, intended for development of residential and commercial buildings, representing Polish investment funds (as financing entities). The transaction value is over EUR 10m.
The scope of act BSWW’s services included comprehensive support with respect to preparation of bond issue documents, security interest documentation, relevant corporate consents and other documents related to the issue of bonds. The transaction was completed in two stages: the first one took place in Poland and was related to the issue of bonds under the Polish law, whereas the other was held in Estonia and involved purchase of the property in line with the Estonian law.
Due to the adopted form of financing (private debt), legal consulting required a non-standard collateral structure based on the Polish and Estonian law. With respect to the latter, act BSWW was cooperating with a law firm based in Estonia.
